Open Role: Associate Counsel

Who Are We Looking For?
We are currently hiring for a full-time, remote Associate Counsel. This is for a lawyer who enjoys fast-paced commercial work, direct client contact, and meaningful autonomy. You'll work directly with founders, revenue leaders, and in-house legal teams – not through layers of bureaucracy. Day to day, you'll negotiate key commercial agreements, counsel clients on legal matters to support their decision-making, and help build scalable legal functions. As part of a growing law firm, your voice and insights will be valued and encouraged, with close collaboration among colleagues and meaningful involvement in the firm’s direction. You'll help shape both client outcomes and Opp Law itself.
The role includes:
Reviewing, drafting, and negotiating commercial agreements, including enterprise SaaS agreements, MSAs, OFs, SOWs, DPAs, BAAs, vendor and procurement agreements, professional services agreements, and channel/reseller agreements.
Advising on practical commercial risk and privacy-related issues, including GDPR and CCPA matters.
Managing multiple deals and competing expectations simultaneously, especially when every deal (somehow, always) is closing on the same day.
Helping clients develop contract playbooks, templates, fallback libraries, and workflows that make legal more efficient and empower their teams to handle more on their own.
This role is a good fit if you're comfortable managing multiple client matters at once, you communicate clearly with businesspeople (not just lawyers). You have a sharp eye but a selective pen (you know when to act), and you're genuinely interested in using technology to improve how legal work gets done.
Qualifications
A J.D. and active bar admission in at least one U.S. jurisdiction (CA, NY, FL preferred)
3+ years of experience negotiating commercial contracts, ideally on sales-side tech transactions
Familiarity with data privacy frameworks (e.g., GDPR, CCPA) (bonus)
In-house or leading (but practical) law firm experience
Comfortable working under tight deadlines
Enjoys working in a growing law firm environment and contributing ideas to the firm's development
Strong analytical and problem-solving skills
Ability to communicate simply and concisely
Embraces a results-oriented approach, valuing effectiveness and practical impact
